Legal Contracts Specialist

CMC Microsystems is seeking a Legal Contracts Specialist.
(Full-time position working out of Kingston, Ottawa, or Montreal)

Reporting to the Senior Manager, Legal Services, this position contributes to the effective lifecycle management of contracts on behalf of the organization. CMC is a not-for-profit organization that accelerates research and innovation in advanced technologies and benefits a network of over 10,000 academic participants and 1,000 companies. The Legal Contracts Specialist plays a key role in supporting CMC services including procurement, partnerships, and technology licensing specifically through skilled management of non-disclosure arrangements. Fully fluent in written English and French, the successful candidate will need to be an excellent and discerning communicator. We are seeking someone who has a keen attention to detail and is well versed in review, drafting, negotiation and administration of commercial contracts.

GENERAL ACCOUNTABILITIES

The candidate must create strong working relationships with researchers from different technical fields, as well as with scientists and managers from within CMC and from industrial sectors.

SPECIFIC ACCOUNTABILITIES

  • Review, draft, negotiate and manage 200+ NDAs (Non-Disclosure Agreements) as a primary focus
  • Review and evaluate the terms and conditions of a variety of agreements and contracts including software license agreements, professional service agreements and third party managed service agreement, with focus on legal requirements, to meet the needs of CMC, while managing or mitigating risk
  • Demonstrated ability to interpret and understand various contract provisions, and resolve or escalate issues, as necessary
  • Oversee all aspects of administering contracts and contract lifecycle including obtaining signatures and tracking required renewals
  • Work closely with various teams within CMC
  • Other tasks as needed

TECHNICAL REQUIREMENTS

  • Strong ability to draft appropriate contract language within the required context.
  • Ability to effectively communicate at all levels of the organization with a customer first approach
  • Comfortable with direct negotiations with customers, suppliers, and third-party vendors
  • Well-organized and detail-oriented with strong time-management skills
  • Comfortable prioritizing and managing multiple tasks and conflicting demands in a fast-paced environment
  • Ability to complete work independently while also working as part of a team; and
  • Experience working on complex contracts an asset

EDUCATION AND EXPERIENCE

  • Bachelor’s degree preferred.
  • Minimum 5+ years’ experience in the review, drafting, negotiation and administration of commercial contracts.
